Agreement to these terms

These Terms and Conditions govern your access to and use of Block Ark Studios websites, artist storefronts, digital music listings, merchandise checkout flows, AI assistant tools, studio dashboards, account features, and on-chain marketplace features.

By using the site, creating an account, connecting a wallet, uploading content, purchasing products, collecting digital items, or using any studio tool, you agree to these terms. If you do not agree, do not use the services.

Block Ark Studios ecosystem

Block Ark Studios combines a traditional creator storefront with a blockchain-enabled music workspace. The ecosystem may include artist pages, merchandise sales, music drops, Soneium-based collectibles, wallet-enabled features, AI assistant tools, community features, and creator dashboards.

Some features are delivered directly by Block Ark Studios, while others depend on third-party services such as payment processors, wallet providers, blockchain networks, print and fulfillment vendors, hosting providers, analytics providers, or AI infrastructure.

Accounts, wallets, and security

• You are responsible for the accuracy of the information you provide and for keeping your account, password, wallet, private keys, and devices secure.
• Block Ark Studios cannot recover lost wallet keys, reverse wallet transactions, or guarantee access to third-party wallet services.
• Block Ark Studios team will never ask for your password or private keys. Never tell anyone your password or private keys.
• We may limit, suspend, or remove access where we believe an account, upload, listing, purchase, or wallet interaction violates these terms, infringes rights, creates legal risk, or harms the platform.

Musician rights and uploaded content

Artists and creators keep the copyright, master rights, publishing rights, name and likeness rights, and other intellectual-property rights they already own, unless a separate written agreement says otherwise. Your music is your music.

When you upload music, artwork, metadata, product copy, images, samples, stems, voice content, prompts, or other material, you confirm that you own it or have all permissions needed to use it on Block Ark Studios. This includes permissions for featured performers, producers, songwriters, publishers, labels, photographers, designers, sample owners, and anyone whose name, image, voice, or likeness is included.

You grant Block Ark Studios a non-exclusive, worldwide license to host, store, reproduce, display, stream, preview, market, format, transmit, distribute, mint, list, and otherwise use submitted content as needed to operate the services, promote your listings, process sales, support collectors, and preserve transaction records. This license is revoked as soon as the content is removed from the site.

Blockchain provenance means that on-chain mints, wallet activity, public transaction history, and related records remain public and cannot be deleted, recalled, or reversed. Block Ark Studios reserves the right to refuse publishing blockchain content that may adversely impact the website or other musicians.

Digital collectibles and music licenses

Buying or receiving a digital collectible, NFT, token, download, access pass, or other on-chain item does not automatically transfer copyright, master ownership, publishing ownership, trademark rights, or commercial exploitation rights in the underlying music or artwork. Any additional license must be stated in the listing metadata, artist terms, smart contract, or a separate signed agreement.

Blockchain collectibles (NFT) and Traditional digital collectibles (MP3) have different resale rights. NFT's are built for trading and may include creator royalties which guarantee a portion of secondary sales make their way back to the creator. Traditional digital collectibles are not resellable or tradeable because of the inability to guarantee royalties.

Collectors receive the item or access described at checkout or in the listing. Blockchain and Traditional purchases both send the content file. Unless the listing expressly says otherwise, collectors may not resell, license, synchronize, sample, remix, distribute, register, or commercially exploit the underlying music, artwork, or artist brand.

Revenue, royalties, profit sharing, and payouts

For Traditional digital products sold through creator storefronts, eligible creators receive role-based profit-sharing calculated from their gross sales minus taxes and fees. Minimum payout of $5 USD. For Blockchain products, creators receive the full sale price at the time of purchase.

The creator share starts with the gross Stripe sale and subtracts payment processor fees, tax reserve, chargeback reserve, refunds, chargebacks, credits, discounts, fraud losses, compliance costs, and other known expenses. Current default reserves are 20% for tax reserve and 3% for chargeback reserve. Stripe fees use actual transaction data when available but if that data is unavailable, Block Ark Studios may estimate processing fees at 2.9% plus $0.30.

• Block Ark Store and Printify merchandise are not part of creator digital profit sharing unless a separate listing, dashboard setting, or written agreement says otherwise.
• On-chain royalties depend on the smart contract, marketplace, token standard, chain support, and buyer or seller behavior. Royalties are not guaranteed on every resale or every external marketplace, and on-chain marketplace sales and royalties are handled by the smart contract.
• Payouts require an eligible creator balance of at least $5.00. Balances below $5.00 carry forward until the threshold is met.
• Payouts require a valid Stripe Connect account or another payout method approved by Block Ark Studios, plus any required identity, tax, sanctions, fraud, and payment verification.
• Block Ark Studios may delay, reduce, reverse, or withhold payout amounts tied to refunds, chargebacks, disputes, suspected fraud, rights issues, tax obligations, platform errors, or legal compliance. Cancellation or loss of account access does not remove Block Ark Studios' right to offset future refunds or chargebacks against unpaid balances.

Purchases, subscriptions, and fulfillment

Prices, availability, product descriptions, token metadata, shipping estimates, and reward amounts may change or contain errors. We may correct errors, cancel orders, or refuse transactions where necessary.

Merchandise and physical products may be fulfilled by third-party providers. Delivery times, taxes, customs, import duties, carrier issues, and local restrictions are outside our direct control.

Subscription features renew according to the checkout terms shown at purchase. You are responsible for managing cancellation before renewal unless the checkout flow or applicable law gives you a different right.

Digital products, downloads, access passes, NFTs, on-chain records, and completed subscription billing are final sale and non-refundable to the fullest extent permitted by law. Canceling a subscription only stops future renewals.

Merchandise sold through the Block Ark Store follows Printify's current return and refund policy for print-on-demand orders. Returns and exchanges are not supported for wrong size, wrong color, or change-of-mind requests, but damaged, defective, or manufacturing error cases may qualify for a free reprint or refund if reported within 30 days of delivery.

AI assistant and generated content

AI tools may help draft product copy, chatbot responses, creative prompts, metadata, support text, or other materials. AI output can be inaccurate, incomplete, similar to third-party material, or unsuitable for your intended use. You are responsible for reviewing, editing, and clearing any AI-assisted output before publishing or selling it.

Prohibited use

• Do not upload content you do not have the right to use.
• Do not impersonate artists, collectors, companies, or rights holders.
• Do not use the services for fraud, money laundering, sanctions evasion, harassment, malware, scraping, spam, or illegal activity.
• Do not interfere with platform security, smart contracts, payment systems, fulfillment systems, or other users.

Third-party services and blockchain risk

Wallets, Soneium and other blockchain networks, bridges, explorers, marketplaces, payment processors, AI providers, fulfillment vendors, and other third-party services are not fully controlled by Block Ark Studios. Their outages, fees, policies, security issues, or mistakes may affect your account, purchases, listings, or access.

Blockchain transactions are irreversible. Token prices, network fees, token availability, rewards, and collectible values can change quickly and may go to zero. Nothing on the site is financial, investment, tax, or legal advice.

Copyright complaints and disputes

If you believe content on the platform infringes your rights, contact Block Ark Studios through the support or account channels available on the site and include enough detail for us to identify the content, the rights owner, the claimed infringement, and your contact information.

We may remove or restrict content while a rights dispute is reviewed. Repeat infringers may lose access to the services.

Disclaimers and limitation of liability

The services are provided as available and without warranties to the fullest extent permitted by law. We do not guarantee uninterrupted access, error-free operation, future availability of any feature, guaranteed sales, guaranteed resale value, guaranteed royalties, or that third-party services will continue to support a product, collectible, wallet, chain, or checkout flow.

To the fullest extent permitted by law, Block Ark Studios is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, lost keys, failed transactions, network fees, or third-party service failures.

Changes to these terms

We may update these terms as the platform, marketplace, studio tools, payment flows, or legal requirements change. The updated date at the top of this page shows when the terms were last revised. Continued use of the services after changes are posted means you accept the updated terms.
